Terms of Service

Version 1.1 · Effective date: October 12, 2026 · Last updated: October 12, 2026

Plain-English summary. We build and run AI tools for small US businesses, remotely from Israel. These Terms cover our website, the questionnaire, the client portal and the demo. Paid work is also covered by the Service Agreement and your written Quote. Monthly plans renew each month until you cancel. Our services are for businesses only. Disputes go to individual arbitration, not class actions, and you can opt out of arbitration by email within 30 days (section 17). Our services are not available to HIPAA covered entities such as dental and medical practices until we can sign a Business Associate Agreement (section 8). We build with Claude, Anthropic's AI model. We are not affiliated with or endorsed by Anthropic.

1. Who we are

"We", "us" and "our" mean Lavi Entrepreneurship & Management (Meir Lavi), Israeli sole proprietorship (Osek Murshe), doing business as AI Lab Pro, with its address at 29 Yigal Alon St., Herzliya, Israel. We provide our services remotely from Israel. Contact: support@ailabpro.co.

"You" means the business, and the person acting for it, that uses our website, portal or services. By using them, you agree to these Terms and to our Privacy Policy.

2. What these Terms cover

If you hired us through Upwork, the Upwork Terms of Service also apply to payments and disputes handled by Upwork.

3. Business use only

Our services are for businesses, not for personal, family or household use. You confirm that you are at least 18 years old, that you have authority to bind your business, and that you use our website and services for your business (see also section 17, item 1).

4. Your account

You sign in with an email code or a third-party sign-in (for example Google). Keep access to your email secure. You are responsible for activity in your account. Tell us right away if you think someone else has access.

5. The demo

The chat demo on our website uses a fictional business. No real booking is made, no real message is sent, and nothing you type is a request for service. Do not type personal or sensitive information into the demo.

6. Quotes, prices, payment and renewal (summary)

7. Refund policy

8. Acceptable use

You must not use our services to:

We may pause the AI or suspend an account that breaks these rules. We will tell you why.

9. Not an emergency service

The AI receptionist is not a 911 or emergency service. When a caller describes an emergency, it tells them to call 911 and alerts you, but it cannot dispatch help. Do not rely on it for life-safety situations.

10. AI, recording notice, transcription and your responsibilities

The AI can make mistakes: it can misunderstand a caller, write a wrong detail, or book a wrong slot. You can review every call, text and booking in your portal and pause the AI at any time. You are responsible for decisions you make based on AI output. We do not promise any business result (for example more leads, jobs or revenue).

Every AI-answered call starts with a notice that the caller is speaking with an AI assistant, that the call may be recorded and transcribed by us and our service providers, and that the business may text the caller about the call. You cannot remove this notice. We do not store call audio; we keep transcripts as described in our Privacy Policy. Before it sends a booking confirmation or reminder, the AI asks the caller for permission to text, and the answer is logged. If a caller objects to recording or transcription, the AI stops, keeps no transcript of the conversation, and alerts you to call the person back. These features are designed to help you comply with the laws of your callers' states; they are not legal advice (section 15A). You are the business your callers are calling, and you are responsible for any additional notice or consent those laws require for your business. The full rules are in section 8 of the Service Agreement.

11. SMS program terms (for people who receive our clients' texts)

This section is for callers of our client businesses who receive text messages from a business's AI line. The business is the sender of these messages; we provide the technology.

12. Intellectual property

Our website, templates, software, shared code and documentation belong to us. Ownership of work we build for you is set out in the Service Agreement: in short, what we make specifically for you transfers to you when you have paid in full, and we keep our reusable templates and code, which we license to you. Content you give us (logos, text, photos, data) stays yours; you give us permission to use it only to provide the services.

13. Third-party services

Our services connect to tools run by other companies, such as Twilio, Google, Calendly, Zapier and your CRM. Their terms apply to your use of them. We are not responsible for their outages or changes.

14. Disclaimers

Except as stated in the Service Agreement, our website, demo and services are provided "as is" and "as available". Early-access features are provided "as is", without any service-level target. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the services will be uninterrupted or error-free. We do not claim that our services make you compliant with any law or regulation; compliance with laws that apply to your business is your responsibility.

15. Limitation of liability

To the extent the law allows: (a) our total liability for all claims related to our website and services is limited to the greater of (i) the amounts you paid us in the 6 months before the event that caused the claim, or (ii) US$500; (b) we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, jobs or data; and (c) we are not liable for fines, penalties or statutory damages (including under the Telephone Consumer Protection Act or any state telemarketing, texting or call-recording law) arising from calls or texts made in your business's name, except to the extent caused by our failure to process an opt-out request we received. These limits apply even if a remedy fails of its essential purpose. They do not reduce refunds we owe you under section 7 (including the satisfaction guarantee), which remain payable in full. For paid services, the limits in the Service Agreement apply.

15A. Your insurance and decisions; events outside our control

You are responsible for insuring your own business, including against claims by your callers and customers. We are not your lawyer, compliance advisor or fiduciary; any compliance feature or default wording we provide is a tool, not legal advice. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages or decisions of phone carriers, SMS registration (A2P 10DLC) bodies, cloud or AI providers, changes to those providers' terms, cyber-attacks we could not reasonably prevent, natural disasters or war.

16. Indemnity

You will defend and hold us harmless from third-party claims (including claims by callers, carriers or regulators) that arise from your content, your instructions to us, your messages to your customers, or your breach of these Terms or of the law (including telemarketing, SMS and call-recording laws). For paid services, the indemnities in the Service Agreement apply, including ours to you.

17. Governing law and disputes

  1. Business customers only. You confirm that you use our website and services for your business, not for personal, family or household use, and that you are not a consumer under any law.
  2. Governing law. The laws of the State of New York and the Federal Arbitration Act govern these Terms, without regard to conflict-of-law rules. If a court will not apply that state's law to an issue, the law of the state where your business is based applies to that issue only.
  3. Talk to us first. Before starting any claim, send the other party a short written description of the dispute (to us at support@ailabpro.co). Both parties will try in good faith to resolve it within 30 days. Deadlines for bringing a claim pause during those 30 days.
  4. Binding individual arbitration. Any dispute that is not resolved and that relates to these Terms, the Service Agreement, a Quote or our services will be decided by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, including the Expedited Procedures, in the version in effect when the claim is filed. If the AAA assigns the case to its International Centre for Dispute Resolution, the same Commercial Arbitration Rules still apply. There will be one arbitrator, the language is English, and the seat (legal place) of arbitration is New York, New York. If no claim or counterclaim is more than US$25,000 (not counting interest, fees and costs), the case is decided on written submissions only, unless the arbitrator decides a hearing is needed. Any hearing is held by video. Judgment on the award may be entered in any court with jurisdiction.
  5. Who decides. The arbitrator decides all questions about the scope, validity, enforceability or arbitrability of this section, except that only a court may decide questions about item 7.
  6. Fees. Each party pays its own lawyers and costs. AAA fees and the arbitrator's pay are paid as the AAA rules provide, and the arbitrator may reallocate them in the award.
  7. No class actions; no jury. Claims may be brought only on an individual basis, never as a plaintiff or class member in a class, collective or representative proceeding, and never as a class arbitration. If this item is found unenforceable for a claim, that claim alone will be decided by a court under item 10, after any arbitration of the other claims ends. To the extent a dispute goes to court, both parties waive trial by jury.
  8. Small claims and urgent relief. Either party may instead bring an individual claim in a small-claims court that has jurisdiction, as long as it stays there. Either party may ask a court for urgent relief to protect its intellectual property or confidential information.
  9. 30-day opt-out. You may opt out of arbitration (items 4 to 6) by emailing support@ailabpro.co with your business name and the words "arbitration opt-out" within 30 days after you first accept these Terms or sign a Quote, whichever is first. Opting out changes nothing else in these Terms.
  10. Courts. For any matter that is not arbitrated, the state and federal courts located in New York County, New York have exclusive jurisdiction, and both parties consent to them.
  11. Time limit. A claim must be started within one year after it arises, unless the law requires a longer period.

18. Changes and termination

We may update these Terms. We will post the new version here with a new date and version and, for material changes, email active clients at least 14 days before they take effect. If you keep using the services after that, the new Terms apply; if you do not agree, you may cancel. A change never applies to a dispute that started before it. You may stop using our services at any time; paid services end as described in the Service Agreement.

19. Not affiliated with Anthropic

We build with Claude, an AI model made by Anthropic, PBC. We are an independent business. We are not affiliated with, endorsed by or sponsored by Anthropic. "Claude" and "Anthropic" are trademarks of their owner.

20. General

You agree to receive notices from us electronically (email or the portal). If part of these Terms is unenforceable, the rest stays in force. Our failure to enforce a right is not a waiver. Events beyond either party's reasonable control are covered by section 15A.
